Seller Agreement

1. Onboarding and Verification

• 1.1. Registration: You agree to provide accurate, current, and complete information during the registration process, including but not limited to your legal business name, owner's name, GSTIN, phone number, and physical shop address.
• 1.2. Verification: You acknowledge and agree that your account activation and continued access to the Platform are conditional upon successful verification by Local Threads. This verification process is at our sole discretion and may include, but is not limited to, verification of your GSTIN and a physical visit to your shop premises by a Local Threads representative. We reserve the absolute right to approve, reject, or suspend any Seller account.

2. Seller's Covenants and Obligations

• 2.1. Content Responsibility: You are solely and entirely responsible for all content you or your representatives upload, post, or display on the Platform ("Your Content"). This includes product images, descriptions, specifications, pricing, and stock availability.
• 2.2. Accuracy of Information: You represent and warrant that all information provided in Your Content is true, accurate, and not misleading. You are solely responsible for the accuracy of pricing and agree to make all reasonable efforts to keep your product listings and stock availability status current.
• 2.3. Intellectual Property Rights: You represent and warrant that you own, or have obtained all necessary licenses and permissions for, all intellectual property rights (including copyright) in Your Content. You guarantee that your product photos and descriptions do not infringe upon the copyright, trademark, or other proprietary rights of any third party.
• 2.4. Product Legality: You agree to only list products that are legally permitted to be sold under Indian law. As per current Platform policy, only clothing and related apparel items are permitted. The listing of any prohibited item as defined in our general Terms and Conditions is a material breach of this Agreement.

3. Customer Service and Dispute Resolution

• 3.1. Sole Responsibility: You acknowledge that Local Threads is solely a discovery platform. You agree that you are solely and exclusively responsible for handling all aspects of the customer relationship and transaction, which occur offline.
• 3.2. Direct Communication: You are the first and only point of contact for Customers. You agree to handle all customer inquiries, complaints, questions, and disputes directly, professionally, and in a timely manner. Local Threads will not mediate or be a party to any dispute between you and a Customer.
• 3.3. Compliance: You agree to comply with all applicable consumer protection laws, including the Consumer Protection Act, 2019, and the rules thereunder.

4. Fees and Charges

• 4.1. Trial Period: The Platform is currently provided to Sellers on a free-of-charge basis during an initial testing (MVP) period.
• 4.2. Right to Introduce Fees: Local Threads expressly reserves the right to introduce subscription plans, listing fees, or other charges in the future.
• 4.3. Notification of Fees: Should we introduce a fee structure, we will notify all active Sellers via their registered email address at least thirty (30) days in advance of the new fees taking effect. The notification will include details of the new pricing, plans, and the effective date.
• 4.4. Acceptance of Fees: Your continued use of the Platform after the 30-day notice period has expired will constitute your binding acceptance of the new fee structure. Failure to pay applicable fees by the due date may result in the suspension or termination of your account.

5. QR Code License

• 5.1. Ownership: The QR code provided to you by Local Threads, which links to your shop page on the Platform, is and shall remain the exclusive property of Local Threads.
• 5.2. Limited License: We grant you a limited, non-exclusive, non-transferable, and revocable license to display this QR code at your physical shop premises. This license is granted for the sole purpose of directing customers to your page on the Local Threads Platform.
• 5.3. Revocation: This license is valid only for the duration that your account is active and in good standing. Upon termination of this Agreement for any reason, this license is immediately revoked. You agree to cease all use of the QR code and remove it from public display upon termination.

6. Indemnity

You agree to defend, indemnify, and hold harmless Local Threads and its founder from any and all claims, liabilities, damages, losses, costs, and expenses (including legal fees) arising out of or in any way connected with:

1. Your Content, including any claims of inaccuracy or infringement of third-party rights;
2. Any dispute, claim, or complaint made by a Customer against you;
3. Your breach of this Agreement or any warranties made herein;
4. Your violation of any applicable Indian law or regulation.

7. Termination

• 7.1. Termination by Us: We may, at our sole discretion, suspend or terminate your account and this Agreement immediately and without prior notice if you breach any term of this Agreement, the general Terms and Conditions, or if we receive a significant number of verified customer complaints against you.
• 7.2. Termination by You: You may terminate this Agreement by providing written notice to our Grievance Officer and ceasing all use of the Platform.

8. Governing Law and Jurisdiction

This Agreement shall be governed by the laws of India. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the competent courts located in Rohtak, Haryana, India.
