Terms and Conditions

1. Definitions

• "Platform" refers to the Local Threads website and its associated services.
• "User" refers to any person who accesses the Platform, including "Customers" and "Shopkeepers."
• "Customer" means a User who browses the Platform, views listings, and may sign up for services like a wishlist.
• "Shopkeeper" or "Seller" means a verified local business owner who has been onboarded to list their products or services on the Platform.
• "Content" means any text, graphics, images, product descriptions, prices, contact information, or other materials uploaded, displayed, or transmitted on the Platform.

2. The Role of the Platform

Local Threads acts solely as an intermediary and a discovery platform as defined under the Information Technology Act, 2000. Our service is limited to providing a space for Shopkeepers to display their product listings and for Customers to discover them.

You explicitly acknowledge and agree that:

• We are Not a Seller: Local Threads is not a party to any transaction or agreement that may occur between a Customer and a Shopkeeper. We do not sell, purchase, or endorse any products listed on the Platform.
• No Transactional Involvement: We do not facilitate, process, or have any control over payments, delivery, returns, refunds, or any other aspect of the transaction. All transactions are conducted offline and directly between the Customer and the Shopkeeper.
• No Guarantees: We make no representations or warranties regarding the accuracy, quality, safety, legality, pricing, or availability of any product listed by a Shopkeeper. All Seller Content is the sole responsibility of the Shopkeeper who posts it.
• No Liability: We expressly disclaim all liability for any act, omission, or dispute that may arise between Users. Any claims, damages, or disputes are to be resolved directly between the Customer and the relevant Shopkeeper.

3. User Eligibility

Use of the Platform is available only to persons who can form legally binding contracts under the Indian Contract Act, 1872. Persons who are "incompetent to contract," including minors (under the age of 18), are not eligible to use the Platform.

4. User Accounts & Responsibilities

• Account Creation: To access certain features (like creating a wishlist), Customers must register for an account. Shopkeepers must complete a verification and onboarding process.
• Accurate Information: You agree to provide true, accurate, current, and complete information during the registration process.
• Account Security: You are solely responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

5. User Obligations and Prohibited Conduct

As a User of this Platform, you agree not to host, display, upload, modify, publish, transmit, store, update, or share any information that:

1. belongs to another person and to which you do not have any right;
2. is defamatory, obscene, pornographic, paedophilic, invasive of another's privacy, insulting or harassing on the basis of gender, libellous, racially or ethnically objectionable, or otherwise inconsistent with the laws of India;
3. is harmful to minors;
4. infringes any patent, trademark, copyright, or other proprietary rights;
5. violates any law for the time being in force;
6. deceives or misleads the addressee about the origin of the message or knowingly communicates any information which is patently false or misleading in nature but may reasonably be perceived as a fact;
7. impersonates another person;
8. threatens the unity, integrity, defence, security, or sovereignty of India, friendly relations with foreign States, or public order, or causes incitement to the commission of any cognizable offence;
9. contains a software virus or any other computer code, file, or program designed to interrupt, destroy, or limit the functionality of any computer resource;
10. is patently false and untrue, and is written or published in any form, with the intent to mislead or harass a person, entity, or agency for financial gain or to cause any injury to any person.

6. Shopkeeper Terms

Shopkeepers who are onboarded onto the Platform are subject to additional terms and obligations outlined in the Seller Agreement, which they must agree to separately. These Terms and Conditions apply to Shopkeepers in their capacity as Users of the Platform.

7. Intellectual Property Rights

• Platform IP: All content on this Platform created by us, including the Local Threads name, logo, graphics, user interface, and software, is our exclusive property and is protected by copyright, trademark, and other intellectual property laws.
• User Content: You (or the respective Shopkeeper) retain ownership of the Content you submit. However, by posting Content on the Platform, you grant us a non-exclusive, worldwide, perpetual, royalty-free license to use, host, display, reproduce, and distribute your Content for the purpose of operating and promoting the Platform.

8. Limitation of Liability & Indemnity

• Limitation of Liability: To the fullest extent permitted by law, Local Threads shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from (a) your use of the Platform; (b) any conduct or Content of any third party (including other Users); or (c) any dispute between you and another User.
• Indemnity: You agree to defend, indemnify, and hold harmless Local Threads and its founder from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from your use of the Platform or your violation of these Terms.

9. Termination

We reserve the right, at our sole discretion, to suspend or terminate your account and access to the Platform without any prior notice if we believe you have breached any of these Terms. You may terminate your account at any time by contacting our Grievance Officer.

In accordance with the Information Technology Act, 2000, and the rules made thereunder, the name and contact details of the Grievance Officer are provided below:

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. You agree that any legal action or proceeding arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Rohtak, Haryana, India.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. We will post the revised Terms on the Platform and update the "Last Updated" date. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms.
